USER AGREEMENT

1. PARTIES

1.1. This User Agreement ("Agreement") has been entered into between Upgrade Teknoloji Anonim Şirketi ("Upgrade"), headquartered at Sultan Selim Mah. Libadiye Sk. No: 3 İç Kapı No: 1 Kağıthane / İstanbul, and the User ("User") to determine the conditions for the User's use of the Services offered by Upgrade on Yuppo.

1.2. Upgrade and the User shall be referred to individually as "Party" and collectively as "Parties" in this User Agreement.

2. DEFINITIONS

2.1. Privacy Notice Regarding the Processing of Personal Data: Refers to the text, accessible via Yuppo, that regulates matters such as the purposes and methods of use by Upgrade of the personal data transmitted by Users via Yuppo.

2.2. Profile: Refers to the User-specific page, accessible only with a username and password determined by the respective User, where the User can perform necessary actions to benefit from the Services on Yuppo and enter their personal data and information requested on an application basis.

2.3. Services: Refers to the services listed in Annex-1: Services of this User Agreement, and which may be offered by Upgrade in different ways for different membership packages, with the authority to make changes residing exclusively with Upgrade (as detailed in Annex-2: Service Levels of this User Agreement).

2.4. User: Refers to the natural person who is a member of Yuppo and purchases the Services offered by Upgrade within the scope of this User Agreement.

2.5. Yuppo: Refers to the mobile application owned by Upgrade, on which Upgrade offers the Services defined in this Agreement.

3. FORMATION, SCOPE, AND PURPOSE OF THE AGREEMENT

3.1. Upgrade operates Yuppo, and the User wishes to become a member of Yuppo and benefit from the Services.

3.2. The purpose of this Agreement is to determine the conditions for benefiting from the Services and to define the rights and obligations of the Parties in this regard.

3.3. By accepting this Agreement, the User agrees to all current and future content, applications, and statements provided through Yuppo

3.4. The User agrees, declares, and undertakes that they have read and understood the Agreement and are aware of their rights and obligations.

3.5. The Parties agree, declare, and undertake that there is no disproportionality between the obligations agreed upon in the Agreement, that the mutual obligations are appropriate to the nature of the work, and that they have no inexperience regarding the transactions within the scope of the Agreement.

3.6. The User agrees, declares, and undertakes that they are fully convinced that the transactions within the Agreement are in their own interest and that they will comply with all conditions of their own free will, without any difficulty or distress, having thought them through, willingly, and knowingly.

3.7. The Parties agree, declare, and undertake that the provisions of the Agreement do not contain any feature that could be considered an unfair term, and there is no injustice in terms of the balance of interests.

3.8. The Parties agree, declare, and undertake that the provisions of this Agreement do not contain any unfair terms according to the regulation on unfair terms in consumer contracts.

3.9. The Parties agree, declare, and undertake that the provisions of this Agreement do not constitute a breach of the rules of honesty and good faith and have been prepared in accordance with the legislation on consumer protection.

3.10. The provisions of this Agreement have been prepared in consideration of the provisions of the Turkish Code of Obligations No. 6098. The binding nature and content review stipulated in Article 21 of the Turkish Code of Obligations No. 6098 have been performed by the User. None of the provisions of this Agreement are of a nature foreign to the nature of this Agreement and the specifics of the work (surprising terms). The provisions of this Agreement are written clearly and comprehensibly and do not have multiple meanings.

4. RIGHTS AND OBLIGATIONS OF THE PARTIES

4.1. To gain membership status, this Agreement must be approved, and the information requested on the membership page must be filled in with correct and current information. The user wishing to become a member must be over 18 (eighteen) years of age. The User who does not provide accurate and current information when filling out the User Agreement is personally responsible for all damages that may arise from this.

4.2. The User agrees, declares, and undertakes that the data provided to Upgrade via Yuppo belongs to them and/or to persons under their legal responsibility (i.e., under their guardianship or custody), that in the contrary case, all responsibility belongs exclusively to them, and in such a case, they will hold Upgrade harmless from any and all damages.

4.3. In the event of a dispute as to whom the membership rights and obligations belong and if the said persons make a request to Upgrade in this regard, Upgrade has the right to act by accepting that the owner of the membership account is the last person who made a payment to Upgrade for any Service using the relevant membership account.

4.4. The Parties agree, declare, and undertake that the fee to be paid by the User within the scope of membership and Services on Yuppo shall become valid upon being determined by Upgrade and announced on Yuppo.

4.5. The User agrees that Upgrade is not responsible for the reality, reliability, accuracy, or legality of any visual, written, or other content on Yuppo.

4.6. The User agrees and declares that they will act in accordance with the provisions of this Agreement, all conditions specified on Yuppo, current legislation, and moral rules in their transactions and correspondence on Yuppo. The legal and criminal liability for the User's transactions and actions within Yuppo belongs to the User.

4.7. Upgrade may share the User's information with the competent authorities upon their request in accordance with the current legislation, by informing the User in advance if necessary, in accordance with Law No. 6698 on the Protection of Personal Data, and in any case, subject to data transfer rules.

4.8. The username and password information that the User needs to access the Profile and perform transactions on Yuppo is created by the User, and the security and confidentiality of said information are entirely the User's responsibility. The User agrees, declares, and undertakes that transactions carried out with their own username and password have been carried out by them, that the responsibility arising from these transactions belongs to them in advance, that they cannot raise any plea and/or objection that they did not carry out such transactions, and/or that they will not refrain from fulfilling their obligations based on this plea or objection.

4.9. The User shall not use Yuppo in any way that is contrary to law and morality, including but not limited to the following cases:

  • Using Yuppo for the purpose of creating a database, record, or directory for any person;
  • Using Yuppo for the purpose of corrupting, altering, or reverse-engineering all or part of it;
  • Conducting transactions using false information or another person's information, creating non-real membership accounts by using false or misleading personal data, including false or misleading residence addresses, e-mail addresses, communication, payment, or account information, and using these accounts in violation of the User Agreement or current legislation, unauthorized use of another User's account, becoming a party to or participant in transactions by impersonating another person or using a false name;
  • Spreading viruses or any other technology harmful to Yuppo, Yuppo's database, or any content within Yuppo;
  • Engaging in activities that would create unreasonable or disproportionately large loads on the communications and technical systems determined by Yuppo or harm the technical operation, using software or systems such as automatic programs, robots, web crawlers, spiders, data mining, and data crawling on Yuppo without Upgrade's prior written consent, and thus copying, publishing, or using all or part of any content on Yuppo without permission.

4.10. The User is obliged to carry out their transactions on Yuppo in a way that does not technically harm Yuppo in any way. The User agrees and undertakes that they have taken all necessary precautions, including using necessary protective software and licensed products, to ensure that all information, content, materials, and other content they provide to Yuppo do not contain any programs, viruses, software, unlicensed products, Trojan horses, etc., that could harm the system. The User also agrees not to access the Profile via robot or automatic login methods.

4.11. The User agrees, declares, and undertakes that transactions carried out using their own username and password will be deemed to have been carried out by them, that the responsibility arising from these transactions belongs to them, that they cannot raise any plea and/or objection that they did not carry out such transactions, and/or that they will not refrain from fulfilling their obligations based on this plea or objection, and that Upgrade has no responsibility in this regard.

4.12. All materials on Yuppo are provided for educational purposes only. Upgrade does not warrant or make any representations regarding the use, results of use, accuracy, precision, or reliability of the materials on Yuppo.

4.13. Upgrade is not responsible for any direct or indirect damages that may be incurred due to the User's use of Yuppo.

4.14. Yuppo may link to, or contain references to, other websites or applications that are not under Upgrade's control, not established, operated, or regulated by Upgrade. Upgrade is not responsible for the content of such other applications or websites or other links and/or references they contain, or the products/services they offer. These links do not imply an endorsement of the owner of the linked website or the person operating the site, nor do they constitute any representation or commitment regarding any information, statement, or visual in its content. Likewise, Upgrade is not responsible for the products, services, and other content promoted or promised by advertisements, promotions, or banners on Yuppo or linked from Yuppo.

4.15. The User cannot transfer the user profile created by them to a third party or allow a third party to use it.

4.16. In the event that the User violates the provisions of this Agreement, the criminal and legal responsibility arising from the violations belongs personally to the User. The User shall hold Upgrade harmless from all damages, lawsuits, claims, and demands that may arise due to the violations. Furthermore, Upgrade reserves the right to claim compensation from the User for said violations.

4.17. Upgrade always has the right to unilaterally suspend or terminate the User's membership and delete all information, data, documents, and files belonging to the User without undertaking any responsibility and without being obliged to pay compensation.

4.18. Upgrade may change the content, design, and software of Yuppo at any time. Upgrade reserves the right to change, stop, or terminate any service provided to Users and to delete user information and data registered on Yuppo at any time.

4.19. Upgrade reserves the right to change the scope of the Services, the content, design, and software of Yuppo, to change, stop, or terminate any service provided to Users, and to delete user information and data registered on Yuppo at any time.

4.20. Upgrade may use the personal information of its users in studies aimed at their interests and preferences in order to provide better service to its users, improve its services, and facilitate the use of Yuppo. Upgrade reserves the right to keep records of the User's movements on Yuppo.

4.21. The User is responsible for obtaining the network access necessary to use the Services. The User is aware that if they access Yuppo or use the Services from a device with wireless internet access, mobile network data may be used and corresponding tariffs may apply.

4.22. It is the User's responsibility to provide the appropriate software and devices and their updates necessary to use the Services and to keep Yuppo up-to-date.

4.23. Upgrade does not warrant or guarantee in any way that the Services or Yuppo will work with a specific device or software, or that the functions contained in the materials will be uninterrupted or error-free. The User accepts that the Services and/or Yuppo may be subject to malfunctions and delays due to internet usage. Upgrade is not responsible for any problems the User may experience due to interruptions in Yuppo access caused by technical problems.

4.24. The disclaimers and limitations of liability set forth for Upgrade within this Agreement are valid for everyone the User may address as an interlocutor and from whom they may claim rights in relation to Yuppo.

5. TERMINATION OF THE AGREEMENT

5.1. Either Party may terminate this User Agreement unilaterally at any time without compensation. In the event of such termination, the Parties shall mutually and fully fulfill the rights and obligations that have arisen up to the date of termination.

5.2. If Upgrade determines that the User has violated any article of this User Agreement or has reasonable suspicion of such, it has the right to suspend or terminate the membership and the right to file lawsuits and legal proceedings.

6. PRIVACY AND PROTECTION OF PERSONAL DATA

6.1. Upgrade collects, uses, transfers, and otherwise processes the personal data provided by the User in accordance with the Privacy Notice Regarding the Processing of Personal Data available on Yuppo. The User understands that they can review the Privacy Notice on Yuppo at any time for more information about the conditions regarding the use of their personal data and their rights in this regard, and that they can exercise these rights by sending an e-mail to "[email protected]" as specified therein.

6.2. Personal data shared by the User to create a membership on Yuppo or to benefit from Yuppo is collected, stored, and processed by Upgrade in accordance with the Privacy Notice Regarding the Processing of Personal Data for the purposes of fulfilling the obligations set forth in the User Agreement, executing the applications required for the operation of Yuppo, providing and offering various advantages to the User, carrying out payment transactions, performing customer services and complaint follow-up processes, and conducting custom advertising, sales, marketing, surveys, similar electronic communications, profiling, and statistical studies for the User.

6.3. Upgrade places importance on processing personal data in accordance with all legislation, including the LPPD (Law on Protection of Personal Data), ensuring its security, and protecting it within the scope of this membership agreement. Upgrade processes and shares the User's personal data, which it obtains during the establishment and performance of this agreement, primarily for the purposes of providing the services specified in this agreement and User satisfaction.

6.4. Upgrade is obliged to provide the Services to the User via Yuppo. The User agrees that the processing of their personal data is necessary for the proper performance of the agreement within the scope of this obligation.

6.5. The Member may apply to Upgrade by sending an e-mail from their e-mail address registered in the membership account to "[email protected]" including the mandatory elements specified in Article 5 of the Communiqué on the Procedures and Principles of Application to the Data Controller, in order to obtain detailed information about their processed personal data and to submit their rights and requests under the LPPD.

6.6. If the User consents to commercial electronic messages, Upgrade may send commercial electronic messages to the User via the e-mail address registered on Yuppo or by calling or sending an SMS to their phone number to promote and market its goods and services. The User consents to the sending of commercial messages by accepting this agreement.

6.7. The User is obliged to keep their e-mail address and phone number registered on Yuppo correct and up-to-date.

6.8. The User has the right not to consent to the sending of commercial electronic messages or to withdraw their consent. In this context, just as they can withdraw their consent through the methods specified in the relevant legislation, Upgrade also allows the User to change their preferences regarding the sending of commercial electronic messages via the Website to facilitate the exercise of this right.

7. INTELLECTUAL PROPERTY RIGHTS

7.1. All intellectual property rights of the Yuppo brand and logo, Yuppo's design, software, domain name, and all kinds of brands, designs, logos, trade dress, slogans, and all other content created by Upgrade related to these are the property of Upgrade. The User may not use, share, distribute, display, reproduce, or create derivative works from the intellectual property rights subject to Upgrade's ownership without Upgrade's permission. The User may not use all or part of Yuppo in another medium without Upgrade's permission. In the event that the User acts in a way that infringes the intellectual property rights of third parties or Upgrade, the User is obliged to compensate for all direct and indirect damages and expenses of Upgrade and/or the said third party.

8. AGREEMENT AMENDMENTS

8.1. Upgrade may, at its sole discretion, unilaterally change this User Agreement and any policy, provision, and condition on Yuppo, including the Privacy Notice Regarding the Processing of Personal Data, at any time it deems appropriate by announcing it on Yuppo, provided that it does not contravene the provisions of the current legislation. The amended provisions of this User Agreement shall become valid on the date they are announced on Yuppo, and the remaining provisions shall remain in full force and effect. For the avoidance of doubt, this User Agreement cannot be changed unilaterally by the User.

9. FORCE MAJEURE

9.1. Riot, embargo, government intervention, insurrection, occupation, war, mobilization, strike, lockout, labor actions or boycotts including labor-employer disputes, cyber-attack, communication problems, infrastructure and internet failures, system improvement or renewal works and malfunctions that may occur as a result, power outage, fire, explosion, storm, flood, earthquake, migration, epidemic or other natural disaster or other events beyond Upgrade's control, not arising from its fault, and not reasonably foreseeable ("Force Majeure") that prevent or delay Upgrade from fulfilling its obligations arising from this User Agreement, Upgrade shall not be held responsible for its obligations that are prevented or delayed as a result of Force Majeure, and this situation shall not be considered a breach of this User Agreement.

10. MISCELLANEOUS PROVISIONS

10.1. Agreement on Evidence: The User agrees that in disputes that may arise from this User Agreement, Upgrade's official books and commercial records, and the e-archive records, electronic information, electronic correspondence, and computer records kept in Upgrade's database and servers shall constitute binding, conclusive, and exclusive evidence, and this article constitutes an evidentiary agreement within the meaning of Article 193 of the Code of Civil Procedure No. 6100.

10.2. Applicable Law and Resolution of Disputes: This User Agreement shall be exclusively subject to the laws of the Republic of Turkey. Any dispute arising from or in connection with this User Agreement shall be subject to the exclusive jurisdiction of the İstanbul Central (Çağlayan) Courts and Enforcement Offices.

10.3. Notification: Upgrade will communicate with the User via the e-mail address provided by the User during registration or by calling or sending an SMS to their phone number. The User is obliged to keep their e-mail address and phone number up-to-date.

10.4. Integrity and Severability of the User Agreement: This User Agreement constitutes the entire agreement between the Parties on the subject. If any provision of this User Agreement is held to be wholly or partially invalid, unenforceable, or unreasonable by any competent court, arbitration panel, or administrative authority, this User Agreement shall be deemed severable to the extent of such invalidity, unenforceability, or unreasonableness, and the other provisions shall remain in full force and effect.

10.5. Assignment of the User Agreement: The User may not assign their rights or obligations under this User Agreement, in whole or in part, without the prior written consent of Upgrade. Upgrade may assign its rights and obligations arising from this Agreement to third parties.

10.6. Waiver: The failure of either Party to exercise or enforce any right granted to it in the User Agreement shall not constitute a waiver of such right or prevent the subsequent exercise or enforcement of such right.

11. DISCLAIMER

11.1. General Disclaimer: Yuppo provides advice, activity suggestions, and guidance services for children's personal development. These services are supported by data and recommendations generated by artificial intelligence. However, the information and recommendations provided:

  • Are strictly not professional medical, psychological, or pedagogical advice.
  • Cannot replace medical diagnosis, treatment, or therapy and should not be interpreted as such.
  • Users must first consult an expert doctor, pedagogue, or other health professionals on all matters related to their children's health and development.

11.2. AI-Supported Recommendations and Disclaimer of Liability: The information and recommendations provided on Yuppo are generated by artificial intelligence and may contain incorrect, incomplete, or insufficient information as they may not have been prepared under human supervision.

  • Upgrade does not guarantee the accuracy or appropriateness of the AI recommendations.
  • Users accept that the information in the Yuppo application is for guidance purposes and that all responsibility for decision-making belongs to the parents.
  • Upgrade cannot be held responsible for any direct, indirect, special, or incidental damages that may arise as a result of implementing the recommendations provided on Yuppo.

11.3. Health and Safety Recommendations: The activities suggested in Yuppo may not be suitable for the child's physical, mental, and emotional health.

  • It is recommended to consult a doctor, pedagogue, or expert healthcare professional before implementing the suggested activities.
  • Parents must make the necessary assessment, taking into account the child's current health status, special needs, and age appropriateness.
  • Especially if there is any doubt about the child's health condition, any discomfort, or special condition (e.g., chronic illness, allergy, psychological sensitivity), such recommendations should not be implemented.

1.4. Acceptance of Risks: Parents using the Yuppo application implement the recommendations provided by the application on their own initiative.

  • The responsibility for all risks, consequences, and effects that may arise during the implementation of the recommendations within Yuppo belongs entirely to the parents.
  • By using the Yuppo application, the User agrees to fully and completely release Upgrade and its affiliates, employees, and business partners from all damages, claims, and direct or indirect liabilities.

11.5. What to Do in Emergencies: If the child feels unwell or experiences a physical or psychological problem during the recommended activities, the activity should be stopped immediately and a health professional should be consulted. An expert should be consulted immediately, especially if any of the following symptoms are observed:

  • Physical discomfort (fatigue, dizziness, shortness of breath, etc.)
  • Psychological discomfort (extreme stress, anxiety, restlessness, etc.)

11.6. Company's Legal and Ethical Responsibility: Upgrade does not accept responsibility for how Users use or interpret the information provided on Yuppo.

  • The content, recommendations, and AI outputs of Yuppo are provided "as is" and no commitment or guarantee is given.
  • By downloading and using the Yuppo application, Users declare that they fully understand and accept this legal disclaimer.
  • The services offered in the Yuppo application are for informational and guidance purposes only. All decisions regarding children's physical, mental, and emotional health must be made by parents after obtaining the opinion of a professional expert. Upgrade does not accept any responsibility for the results of such decisions or for any liability that may arise from the information provided in the application.

This User Agreement, consisting of 11 (eleven) articles, has entered into force by being read, fully understood, and approved electronically by the User.

ANNEX-1: SERVICES

1. Daily Content Recommendations Under the "Today" Heading: Under this heading, two pieces of content recommended for the user to watch or read are presented. The two pieces of content are renewed every 24 hours. The presented content is recommended based on the information of the child registered and currently selected by the user, using a personalization algorithm. The content, like all other content, is prepared by experts. It is informational in nature. It should not be taken as direct advice. Each child's needs and situation are unique. The targeting of the recommended content is determined by the accuracy of the developmental steps recorded and information provided by the user. For this reason, the precision of content targeting varies and strictly accurate content may not be recommended.

2. Po's Workshop: This is the hypothetical workshop of the character/mascot Po, which is a registered trademark of Upgrade. This hypothetical workshop is where three types of content are presented together.

  • a. Activity Materials: The materials presented under this heading are prepared by experts... (These materials are expected to develop skills related to the relevant sub-development heading when applied with appropriate safety precautions, but there is no guarantee of results... The user must be aware of this.)
  • b. Interactive Stories: Only some of the stories presented under this heading are prepared by experts; the others are generated by artificial intelligence, and their content and visuals may contain errors; parental supervision and content review are recommended... (Visuals generated by artificial intelligence may be inappropriate or disturbing. It is not possible for us to control this; the user should consider this when generating them... If the story was created by AI, the interaction suggestions are also created by AI.)
  • c. Sounds and Music: Under this heading, the user can access sounds and music. These media files are classified into four categories: "Relaxing sounds, melodies, lullabies, and nature sounds." These category names are generalizations. Relaxing sounds may not be relaxing for some individuals.

3. Recording Development: The development recording feature in Yuppo records developmental steps corresponding to or not corresponding to the registered and actively selected child's stage, as marked "Does" or "Not yet" by the user... (The activities may require materials that must be used under supervision, such as scissors, string, and glue. Use under parental supervision is recommended.)

4. Data Recording with Tracking Tools: This operates based on the user's declaration. Information voluntarily provided by the user is recorded and listed.

  • a. Weight and Height Tracking: Weight in kilograms/pounds is taken and recorded with the date. A graph showing percentile values based on the average in the world is displayed.
  • b. Memory Tracking: Covers the virtual album where photos can be uploaded and viewed by other users registered in the family system within the application. Different albums can be created with the uploaded photos.
  • c. Sleep Tracking: Lists sleep duration by date using a stopwatch and manual entry.
  • d. Diaper Tracking: Diaper content, color, texture, and date information are recorded; an optional diaper photo can be added. It is listed by date.
  • e. Feeding Tracking:
    • i. Breast Milk: Allows for time-based or quantity-based tracking of how much breast milk was provided from the right or left breast, depending on the pumping or breastfeeding method.
    • ii. Formula: Recorded and listed with values in milliliters and date.
    • iii. Solid Food: Recorded and listed with quantity in grams, name, and date information.

5. Headings Under the "Articles and Videos" Tab on the Expert Screen:

  • a. Search Bar: Allows searching among the articles and videos within the application...
  • b. Content Recommendations Under the "For You" Heading: Under this heading, content recommended for the user to watch or read is presented... (For this reason, the precision of content targeting varies and strictly accurate content may not be recommended.)
  • c. Content Display Under the "What You're Curious About" Heading: Content in this area is generated by bringing content that corresponds to the categorical headings the user marked in the "What I'm Curious About" section... (The correspondence is not exact...)
  • d. Listing of Questions Under the "News from the Future" Heading: Here, questions that are likely to be wondered about are listed based on the age of the child registered and actively selected by the user... (There is no such thing as providing news from the future.)

6. Headings Under the "Activities" Tab on the Expert Screen:

  • a. Search Bar: Allows searching among the activities within the application...
  • b. Content Under the "Physical" Heading: This heading lists activities thought to be related to physical development...
  • c. Content Under the "Social-Emotional" Heading: This heading lists activities thought to be related to social-emotional development...
  • d. Content Under the "Cognitive" Heading: This heading lists activities thought to be related to cognitive development...
  • e. Content Under the "Language" Heading: This heading lists activities thought to be related to language development...

7. Banner Notification Area on the Profile Screen: This is an area placed to attract the user's attention, containing informational text. It can be used for campaign, news, and discount messages.

8. Family Section: Contains the family name and a view family button. Under this heading are the "Children" and "Family Members" headings. The family structure does not represent a real family...

  • a. Children: These are children added by family members with the "Primary" role in the application...
  • b. Family Members: Family members with the "Primary" role in the application can invite other individuals and add them to the hypothetical family structure...
  • c. Content Listed Under the "My Saved Items" Heading: The user may encounter video, article, and activity content in multiple places within the application...

ANNEX-2: SERVICE LEVELS

Within the product, access rights to premium features are sold as monthly and annual subscriptions for the specified period. With these rights, the User gains access to the following features:

  • Expert-Reviewed Mini-Games
    • Standard & Premium Users: Can access up to 4070 mini-games
  • Activities with Custom Materials
    • Standard Users: Cannot create activities.
    • Premium Users: Can generate custom activities without any limitation.
  • Stories
    • Standard Users: Cannot create stories.
    • Premium Users: Can generate custom stories without any limitation.
  • Developmental Report
    • Standard Users: Cannot generate or access.
    • Premium Users: Can generate 1 report per developmental interval. Intervals vary based on the child's age. (Intervals in months: 1, 2, 3, 4, 5, 6, 7, 8, 9, 10, 11, 12, 13, 14, 15, 16, 17, 18, 19, 20, 21, 22, 23, 24, 25-27, 28-30, 31-33, 34-36, 37-48, 49-60, 61-72)
  • AI Assistant
    • Standard Users: Can send up to 3 messages per day.
